Rise Digital Strategies

SERVICE AGREEMENT for:

This Agreement is entered into effective as of  11/07/2025 by and between above listed company (“Customer”), and Rise Digital Strategies (“Company”). These Terms are collectively referred to as the "Agreement."

Project Strategy

  • Facebook Ads Setup + Management

    • Create new campaign based on targeted demographics, services, etc.

    • Craft and test offer based on industry experience of proven offers

    • Create ad copy, use of images, headline, and lead ads.

    • Create, design, and install retargeting ads.

    • Optimize the cost per lead/ROI based on data on an ongoing basis.

    • Optimize the campaign through multiple testing ads

    • Automate lead delivery through SMS & System notification

  • Lead Management System + Text Message Automation

    • Fully functional, customizable Lead Management System with Facebook ad campaign transparency and tracking, dynamic pipeline, etc.

    • Speed-to-lead instant text message automations sent to inbound Facebook leads 

    • Automated text message nurture sequence for inbound Facebook leads

    • Reactivation campaign 1x/quarter up to 1,000 customers (additional customers billed at phone cost of $0.07/text segment)

    • Submit A2P SMS Compliance Registration

For the purposes of authorizing Rise Digital Strategies to start working, Rise Digital Strategies and Customer hereby agree and acknowledge:

1. RELATIONSHIP

1.1 Customer is an independent entity and is not a strategic partner, franchisee, agent, or employee of Rise Digital Strategies. Rise Digital Strategies is an independent entity and is not a strategic partner, franchisee, agent, or employee of Customer. Neither party will refer to the other party as anything implying a partnership type of arrangement.

1.2 Customer agrees to open communication and transparency. Our team will be in touch throughout the process. We believe in fostering honest, two-way communication to provide the best results.

1.3 Customer agrees to active participation. To help us help you, we’ll ask for your feedback and input. Remember, we’re in this together.

2. OWNERSHIP & CONFIDENTIALITY

2.1 Ownership of Designs

All work and associated intellectual property generated by Rise Digital Strategies remains the sole ownership of Rise Digital Strategies. 

2.2 Ownership of Data

All Information collected for the Customer is to remain the exclusive property of the Customer as long as the Customer abides by the terms in this agreement. Rise Digital Strategies will not rent, sell, or lease any information at any point. If the Customer breaks the terms of the agreement, Rise Digital Strategies reserves the right to delete the advertising campaigns, as well as any associated automations, from the Customer’s account. At the end of the contract term, if the Customer does not wish to continue working with Rise Digital Strategies, the advertising campaigns created by Rise Digital Strategies will be permanently deleted from the Customer’s account. Ensuring the agreement has been paid in full, all customer data generated from the advertising campaigns will remain the sole property of the Customer and will be sent to them via Excel spreadsheet.  

2.3 Confidentiality

The existence of this Agreement, and all information obtained from, or developed for, or on behalf of the Customer by Rise Digital Strategies as part of this Agreement, including but not limited to marketing collaterals, graphics, client data, business plans, database files, and email communication, is to be kept strictly confidential by Rise Digital Strategies and is not to be shared with any third-party, partner or affiliate of Rise Digital Strategies, without receiving prior written approval from the Customer. By signing of this agreement, Customer agrees to allow Rise Digital Strategies to use results and testimonials in promotion of the work Rise Digital Strategies offers.

3. GUARANTEES

3.1 Contractor Exclusivity Guarantee

Rise Digital Strategies will not advertise for any competing business whose service areas overlap with that of the Customer’s. The Customer is responsible for providing Rise Digital Strategies with the locations they would like to target, and Rise Digital Strategies is responsible for turning away any work that would require running ads for another like contractor servicing that area.

3.2 Facebook Ads + Agency Exclusivity Guarantee

The Customer agrees that while they are working with Rise Digital Strategies, they will not hire an outside agency to run Facebook ads for them, whether through the Business Manager that Rise Digital Strategies is utilizing or through another. If when Rise Digital Strategies and the Customer begin working together, Rise Digital Strategies finds that the Customer has not disclosed that they are already working with another agency, Rise Digital Strategies will wait until the Customer’s contract has ended with the agency before commencing designs. All previous agency staff, outsourcers, or white labelers must be removed from the Customer’s Business Manager before Rise Digital Strategies commences work on designs. If the Customer begins running Facebook ads through another marketing agency while in an agreement with Rise Digital Strategies, Rise Digital Strategies has the right to void the service agreement without refunding the Customer any payments thus made. Additionally, the Customer agrees that they will not themselves create, delete, or change any aspect of ad campaigns within their Facebook Ads Manager while working with Rise Digital Strategies. They will not run a separate ad campaign for their business through a different Business Manager. The Customer agrees not to add any outside parties, contractors, or agencies to their Business Manager throughout the duration of their agreement with Rise Digital Strategies. Although Rise Digital Strategies advises against it, the Customer is free to boost posts while working with Rise Digital Strategies.

3.3 Lead Generation Disclaimer
Rise Digital Strategies strives to create and manage advertising campaigns with the goal of generating high-quality leads. However, the Company does not guarantee a specific number of leads, conversions, or sales. Campaign outcomes depend on various factors, including market conditions, consumer behavior, competition, and other external variables outside the Company’s control. The Customer acknowledges and accepts that while Rise Digital Strategies will use its expertise and best practices to optimize campaigns, results may vary and cannot be guaranteed.

4. PAYMENTS & DEADLINES

Rise Digital Strategies will automatically charge $2500 after a 30 day trial period that can be canceled at any time within the trial period, managed to the Customer’s credit card monthly for the service provided. If the Customer’s credit card is declined, Rise Digital Strategies will ask the Customer to provide an alternate card. If Rise Digital Strategies is still unable to collect payment, the Customer will have 24 hours to provide a valid payment method. If a valid payment method is not provided within 24 hours, the Customer’s ads will be turned off, at which time the Customer will have an additional 24 hours to provide a valid payment method before the ads are permanently deleted from the Customer’s account. The Customer will then be required to pay a $500 reactivation fee to have the campaign recreated and relaunched. Payments will be established prior to Rise Digital Strategies initiating any campaign development or commencing designs. The Customer will be auto-charged each month on the date as of the initial payment.  

5. SERVICE LEVEL AGREEMENT

5.1 Account Manager Availability

Rise Digital Strategies account manager will be available during normal business working hours, Monday through Friday, between 9:00AM to 5:00PM EST via Email and Phone.

5.2 Response times

Rise Digital Strategies strives to respond to every email request or phone message pertaining to Customer projects as quickly as possible. Rise Digital Strategies guarantees a maximum response time to emails, text messages, and phone calls of 24 hours during normal business hours.

5.3 Onboarding

Onboarding will be conducted within 3 business days of payment submission as long as Customer’s schedule allows. Delay in onboarding due to Customer's schedule will not extend services or pro-rate month.

5.4 Reporting

Upon the launch of the first ad campaign, Rise Digital Strategies will conduct a weekly review, for the following four weeks, of the ad campaign performance with Customer to review current metrics, leads, and next steps. After this, reviews will be conducted on an ongoing monthly basis with additional check-ins for major changes to campaigns.

6. TERMS & TERMINATION

This service agreement is a 3-Month minimum agreement between Rise Digital Strategies and the Customer. The start date will take effect on the date this agreement is executed. This Agreement shall remain in effect until Customer decides to terminate the service. Once the 3-months is over, this agreement will remain in effect and the term will transition to a month-to-month agreement without any notice. The Customer will continue being auto-charged until the Customer terminates the service. Customer must send a written email to 30-days in advance to cancel services, but only after the 3-month original contract ends. If while in a month-to-month agreement, the Customer cancels services once a new month of service has begun, the Customer is responsible for paying the full monthly management fee for that month; the monthly management fee cannot be prorated or refunded. If the Customer terminates services before the full 3-month contract term is over, the Customer agrees to pay the management fees of each remaining month in the contract; each fee is due at the time it was originally scheduled to be paid. If the Customer neglects to pay the management fees of each remaining month in the contract, Rise Digital Strategies is at liberty to take legal action against the Customer, and the Customer hereby agrees to cover Rise Digital Strategies’ legal fees. At any point, the Customer may request to pause the ads be for a certain length of time; however, if ads are paused, the service agreement term length continues as scheduled, and monthly management fees must be paid on time.

7. 3rd PARTY POLICIES & RULES

7.1 Client understands that Facebook and Instagram, collectively owned by Meta, is a 3rd Party that can disapprove ads and even disable or permanently restrict ad accounts at any time, for any reason. Facebook’s official statement is:

"Facebook is committed to presenting ads to our users that are useful and non-intrusive, and we are continually working to increase the relevance of ads. Our goal is to provide the highest quality user experience. We reserve the right to reject any advertising that we deem contrary to these objectives. Similarly, we reserve the right to close an account creating ads contrary to  these objectives."

Client understands that Rise Digital Strategies will follow all Terms of Services written by Facebook and Instagram. Rise Digital Strategies will also use “Best Practices” as we understand them directly from Facebook and Instagram representatives and other high-volume agencies.

Client understands that Rise Digital Strategies does not offer refunds if Facebook or Instagram decides to close the client’s ad account without notice or reason. Rise Digital Strategies will only use approved methods that are considered “white hat,” and Rise Digital Strategies will not endorse or use any software, tools or methods that would be in violation of Facebook, Instagram, or Meta’s Advertising Terms of Use.

Rise Digital Strategies strongly suggests that the client read all of Facebook and Instagram Advertising Terms of Use before the client executes this agreement with Rise Digital Strategies.

7.2 Client understands that Google is a 3rd Party that can disapprove ads and even disable or permanently restrict ad accounts at any time, for any reason.

Client understands that Rise Digital Strategies will follow all Terms of Services written by Google. Rise Digital Strategies will also use “Best Practices” as we understand them directly from Google representatives and other high-volume agencies.

Client understands that Rise Digital Strategies does not offer refunds if Google decides to close the client’s ad account without notice or reason. Rise Digital Strategies will only use approved methods that are considered “white hat,” and Rise Digital Strategies will not endorse or use any software, tools or methods that would be in violation of Google's Advertising Terms of Use.

Rise Digital Strategies strongly suggests that the client read all of Google's Advertising Terms of Use before the client executes this agreement with Rise Digital Strategies.

7.3 Client understands that telephone and email providers can block, disapprove, and even disable or permanently restrict messaging sent by Client at any given time, for any reason.

Client understands that Rise Digital Strategies will follow "Best Practices" to remain in compliance with A2P messaging standards. Client understands that Rise Digital Strategies does not offer refunds if providers decide to block or disable the client’s messaging ability without notice or reason.

Rise Digital Strategies strongly suggests that the client read all of Twilio and MailGun Terms of Use before the client executes this agreement with Rise Digital Strategies.

8. MISCELLANEOUS

The agreement must be construed as if both parties jointly wrote it and governed by except for its conflicts of laws principals. The agreement constitutes the entire and exclusive agreement between the parties with respect to the subject matter hereof, and supersedes and replaces any other agreements, terms and conditions applicable to the subject matter hereof. No statements or promises have been relied upon in entering into this agreement except as expressly set forth herein, and any conflicting or additional terms contained in any other documents (e.g. reference to a purchase order number) or oral discussions are void. Each party shall not disclose the terms or conditions of these terms to any third party, except to its professional advisors under a strict duty of confidentiality or as necessary to comply with a government law, rule or regulation. Customer may grant approvals, permissions, extensions and consents by email, but any modifications by Customer to the Agreement must be made in a writing executed by both parties. 9. Credit Card Payment Authorization

I authorize Rise Digital Strategies to charge the credit card as used to initiate services executed by this agreement. I certify that I am an authorized user of this credit card and that I will not dispute any charges from Rise Digital Strategies with my credit card company. There are no refunds on any printed items or work that has already been completed. I acknowledge that this form will be kept on file for any future orders with Rise Digital Strategies unless told otherwise in a written statement.

BY ELECTRONICALLY SIGNING BELOW, I ACKNOWLEDGE AND AGREE TO ALL TERMS STATED HEREIN INCLUSIVE OF ALL ITEMS ON THIS SERVICE AGREEMENT.
